OG Capital Opens Private Subscription to Raise Capital to $1.8 Million

Egyptian special purpose acquisition company OG Capital has opened a six-day private subscription to raise its capital from LE 10 million to LE 100 million, equivalent to around $1.8 million.

Established in December 2025, the company plans to issue 90 million new shares through a private offering restricted to financial institutions, qualified investors and high-net-worth investors. The offer is not available to the general public.

The capital increase is intended to support acquisitions worth up to $500 million. OG Capital is prioritising hospitality, particularly hotel assets in Egypt’s main tourist destinations, alongside automotive manufacturing and distribution, building materials and healthcare. The company has also identified real estate, education and other strategic sectors as potential investment areas.

As a SPAC, OG Capital is structured to acquire one or more companies using proceeds raised through share offerings. The subscription includes a redemption mechanism allowing investors who do not approve a proposed acquisition to request repayment for their shares, subject to the conditions set out in the disclosure memorandum.

The redemption option will apply both to subscribers in the capital increase and investors who later purchase shares on the market, provided they reject an acquisition presented at the first extraordinary general assembly following the listing of the increased capital.
