Advent International to Acquire Tunisia-Rooted Fintech Vermeg

US-based private equity firm Advent International has agreed to acquire Tunisia-rooted financial technology company Vermeg from Charterhouse Capital Partners and founder Badreddine Ouali, with the Abu Dhabi Investment Authority participating as a minority investor.

Financial terms and ownership stakes were not disclosed. The transaction is expected to close in the first half of 2027, subject to regulatory approvals and customary closing conditions.

Founded in 1993 and operating principally from Tunisia and the Netherlands, Vermeg develops enterprise software for banks, financial institutions and insurers. Its products cover capital markets infrastructure, post-trade processing, collateral management and insurance policy administration, with customers including central banks, clearing houses, central securities depositories, custodians, investment institutions and brokerage firms.

The company also operates a life insurance technology business focused on policy administration, with a particular presence in France and the Benelux markets.

Following completion, Advent plans to work with Vermeg’s management team on product development, expansion of its artificial intelligence capabilities and growth across international markets.

Ouali will retain an ownership interest in Vermeg and serve as Vice Chairman after the transaction. Advent operating partner Mike Ettling is expected to become Chairman following completion.
